Introduction

These Terms of Service (“Terms”) govern your use of Eclipse Accounting and its related services operated by Eclipse Accounting, Inc. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Account Terms

• You must be at least 18 years old or have the legal authority to bind a business entity to use Eclipse Accounting.
• You are responsible for maintaining the security of your account credentials, including passwords and API keys.
• Individual accounts are limited to one person per account. Organization accounts allow multiple users with role-based access.
• You must provide accurate, current, and complete information during registration and keep your account details up to date.

Subscription & Billing

• A free tier is available with limited features and usage. Paid plans unlock additional capabilities and higher limits.
• Paid subscriptions are billed monthly or annually, depending on the plan you select. All fees are non-refundable except as described below.
• We may adjust pricing with at least 30 days written notice. Price changes take effect at the start of your next billing cycle.
• Annual plan refunds: if you cancel within the first 30 days, you will receive a pro-rated refund for the unused portion of your term.
• If a payment fails, we will attempt up to 3 automatic retries over a 14-day period. After that, your account may be downgraded to the free tier until payment is resolved.

Acceptable Use

You agree not to use Eclipse Accounting in any way that:

• Violates any applicable law, regulation, or third-party rights.
• Attempts to reverse engineer, decompile, or exploit the platform or its infrastructure.
• Shares account credentials with unauthorized users or allows unauthorized access to your account.
• Uploads malicious code, viruses, or content designed to disrupt or damage the service.
• Interferes with the platform's performance, availability, or integrity for other users.

We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on the severity of the violation.

Your Data

• You retain full ownership of your financial data. We do not claim any intellectual property rights over the content you create, upload, or store on our platform.
• You grant Eclipse Accounting a limited license to process, store, and display your data solely to provide and improve our services.
• You can export your data at any time in standard formats (CSV, JSON, PDF) from your account Settings.

Intellectual Property

• The Eclipse Accounting name, logo, software, documentation, and all related materials are the exclusive property of Eclipse Accounting, Inc. and protected by applicable intellectual property laws.
• You may not copy, modify, distribute, sell, or create derivative works based on our software without explicit written permission.
• Any feedback, suggestions, or ideas you provide may be used by Eclipse Accounting to improve the service without obligation of compensation or attribution.

Third-Party Integrations

Eclipse Accounting connects with third-party services including Shopify, Amazon, eBay, Etsy, Stripe, Plaid, QuickBooks, and others. These integrations are provided for your convenience:

• We are not responsible for the availability, accuracy, or reliability of third-party services.
• Third-party services may change their APIs or terms at any time, which may affect integration functionality.
• Your use of any third-party integration is subject to that service's own terms and privacy policies.

Service Availability

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service.
• Planned maintenance windows will be communicated in advance via email and in-app notifications. We schedule maintenance during low-traffic hours whenever possible.
• We are not liable for downtime caused by factors outside our reasonable control, including internet outages, natural disasters, or third-party service failures.

Limitation of Liability

• Eclipse Accounting is a software tool designed to assist with financial management. It is not a substitute for professional accounting, tax, or legal advice.
• We are not liable for any tax filings, financial decisions, or regulatory actions taken based on information provided by our software.
• To the maximum extent permitted by law, our total aggregate liability is limited to the amount you paid to Eclipse Accounting in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Termination

• You may cancel your account at any time from your account Settings. Cancellation takes effect at the end of your current billing period.
• We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period.
• Upon termination, you will have a 30-day window to export your data. After that period, your data will be permanently deleted in accordance with our data retention policies.

Governing Law

• These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
• Any disputes arising from these Terms or your use of the service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Eclipse Accounting.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will provide at least 30 days notice via email to the address associated with your account. Continued use of Eclipse Accounting after the updated Terms take effect constitutes your acceptance of the changes.
